Terms of Service

These Terms of Service (“Terms”) govern your access to and use of nudgg.ai, Nudgg’s products, services, software, SDKs, APIs, websites, and related features (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

Nudgg is an AI-native customer data platform that helps teams capture customer behavior, identify growth signals, create segments, and take action faster.

2. Eligibility

You must be at least 18 years old and able to enter into a legally binding agreement to use the Services.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Use of the Services

You may use the Services only in accordance with these Terms and applicable laws. You agree not to:

  • Use the Services for unlawful, harmful, fraudulent, or abusive purposes
  • Interfere with or disrupt the Services
  • Attempt to gain unauthorized access to any system or data
  • Reverse engineer, copy, modify, or create derivative works of the Services, except where permitted by law
  • Use the Services to collect sensitive personal information unless you have appropriate rights and permissions
  • Upload or transmit malicious code
  • Misrepresent your identity or affiliation
  • Use the Services in a way that violates third-party rights

4. Accounts and access

Some features may require an account, invite, or early access approval.

You are responsible for:

  • Providing accurate account information
  • Keeping login credentials secure
  • All activity under your account
  • Promptly notifying us of unauthorized access or security issues

We may suspend or restrict access if we believe your account or use of the Services violates these Terms or creates risk.

5. Early access and beta features

Nudgg may offer early access, beta, preview, or experimental features. These features may be incomplete, change at any time, or be discontinued.

Beta features are provided “as is” and may contain bugs, errors, or limitations. You should not rely on beta features for critical production decisions without independent review.

6. Customer data

“Customer Data” means data, content, events, identifiers, or other information submitted to or processed through the Services by or on behalf of a customer.

You retain ownership of Customer Data. You grant Nudgg the rights necessary to host, process, transmit, analyze, and display Customer Data to provide and improve the Services.

You are responsible for ensuring that:

  • You have the necessary rights to collect and send Customer Data to Nudgg
  • Your use of Nudgg complies with applicable privacy, data protection, and marketing laws
  • You provide any required notices and obtain any required consents from end users
  • You do not submit prohibited or unlawful data to the Services

7. Data restrictions

Unless we agree otherwise in writing, you must not use the Services to collect or process:

  • Government identification numbers
  • Financial account numbers or payment card data
  • Health information
  • Children's personal information
  • Precise geolocation data
  • Biometric data
  • Passwords or authentication secrets
  • Any data classified as highly sensitive under applicable law

If you need to process sensitive data, contact us before doing so.

8. AI-generated outputs

Nudgg may provide AI-generated insights, recommendations, segments, summaries, or suggested actions. These outputs are provided to assist your team and may not always be accurate, complete, or suitable for your specific use case.

You are responsible for reviewing and validating outputs before relying on them or using them in campaigns, decisions, or customer communications. Nudgg does not guarantee that any AI-generated insight or recommendation will produce a particular business outcome.

9. SDK and implementation

If you install or use a Nudgg SDK, script, API, or integration, you are responsible for implementing it correctly and ensuring that its use complies with your privacy policy, consent practices, and applicable laws. You must not use the SDK to collect information in a deceptive, unauthorized, or unlawful manner.

10. Intellectual property

Nudgg and its licensors own all rights, title, and interest in the Services, including software, design, technology, branding, logos, interfaces, and documentation. These Terms do not grant you any ownership rights in Nudgg’s intellectual property.

You may not use Nudgg’s name, logo, or branding without our prior written permission, except as permitted by law.

11. Feedback

If you provide feedback, ideas, suggestions, or recommendations about Nudgg, you grant us a non-exclusive, worldwide, royalty-free right to use that feedback without restriction or compensation.

12. Third-party services

The Services may integrate with or link to third-party services. Nudgg is not responsible for third-party services, and your use of them may be governed by separate terms and policies.

13. Fees and payment

Some Services may be free during early access. Paid plans, usage-based pricing, or custom pricing may be introduced later. If you purchase a paid plan, payment terms will be provided at the time of purchase or in a separate agreement.

14. Suspension and termination

We may suspend or terminate your access to the Services if:

  • You violate these Terms
  • Your use creates security, legal, or operational risk
  • Required payments are not made
  • We discontinue the Services or any part of them

You may stop using the Services at any time. Upon termination, provisions relating to intellectual property, disclaimers, limitation of liability, and dispute resolution will continue to apply.

15. Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Nudgg disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

16. Limitation of liability

To the maximum extent permitted by law, Nudgg will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption.

To the maximum extent permitted by law, Nudgg’s total liability for any claim relating to the Services will not exceed the amount you paid to Nudgg in the 12 months before the event giving rise to the claim, or INR 10,000 if you have not paid any amount.

17. Indemnification

You agree to defend, indemnify, and hold harmless Nudgg from claims, damages, liabilities, losses, and expenses arising from your use of the Services, your Customer Data, your violation of these Terms, your violation of applicable laws, or your violation of third-party rights.

18. Changes to the Services

We may modify, suspend, or discontinue any part of the Services at any time. We may also update features, pricing, availability, or functionality.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and may provide additional notice. Your continued use of the Services after changes become effective means you accept the updated Terms.

20. Governing law

These Terms are governed by the laws of India, without regard to conflict of law principles. The courts of India will have exclusive jurisdiction over disputes arising from or relating to these Terms, unless applicable law requires otherwise.
